Artist Agreement

This Artist Agreement (“Agreement”) is between John Gomez Creative LLC, a California limited liability company, which operates the Barricade platform (“Barricade,” “we,” “us”), and the artist, band, tour, manager, company, or authorized representative using Barricade to list and sell experiences (“you” or “Artist”).
By accepting this Agreement in the Barricade dashboard or using Barricade to list or sell an experience, you agree to these terms. Clicking “Accept Agreement” is your electronic signature and has the same effect as a signature on paper.
1. About Barricade
Barricade provides software that allows artists and their teams to sell VIP experiences and fan add-ons directly to fans.
Our platform may include listing tools, checkout and payment infrastructure through Stripe, fan communications, check-in tools, and related services.
Unless otherwise stated in writing, Barricade is not the seller or provider of your experience, and is not your promoter, venue operator, production company, security provider, or tax adviser. Barricade does not attend, supervise, or control experiences, and when you use Barricade to communicate with fans, Barricade is the conduit for your message, not its author. The sale of an experience is a transaction between you and the fan; Barricade provides the tools used to complete it. You are responsible for the experiences you offer through the platform.
2. Eligibility and authority
You must be at least 18 years old and legally able to enter into this Agreement.
If you use Barricade on behalf of an artist or another organization, you represent that you have authority to do so and to bind that artist or organization to this Agreement. In that case, both you and the artist or organization are bound by this Agreement, and Barricade may look to either of you for any amounts owed under it.
You also represent that:
- you have all rights and permissions necessary to list and sell each experience;
- you are authorized to direct proceeds to the Stripe account connected to your Barricade account; and
- you are authorized to make decisions and take actions through the account.
Any payment, commission, accounting, or other arrangement between an artist and its manager, label, merch company, tour entity, or other representative is separate from Barricade, and Barricade is not responsible for it.
3. Your account
You are responsible for maintaining accurate account information and keeping your login credentials secure.
This includes your payout information, tax information, contact details, experience details, and team permissions.
You may invite members of your team to access your account. Actions taken by anyone you give access to are treated as your actions. You are responsible for activity performed through your account and for keeping team access current.
Barricade may review a listing before it goes live and may decline, pause, or remove a listing that it reasonably believes is inaccurate, unauthorized, unlawful, or otherwise inconsistent with this Agreement.
Barricade may suspend or restrict an account if we reasonably believe it is being used fraudulently, unlawfully, in violation of this Agreement, or in a way that creates material risk for fans, artists, Stripe, or Barricade.
4. Fees and payouts
Barricade fee
Barricade charges a platform fee equal to 7% of the listed price of each experience sold, unless you and Barricade have agreed to different pricing in writing. The “listed price” is the price you set for the experience, before any payment-processing fee or tax shown to the fan at checkout. The fee is deducted automatically from each transaction.
Payment processing
Payment processing is provided through Stripe. Any payment-processing fee charged to the fan will be disclosed at checkout. Unless otherwise agreed, Stripe processing fees are not deducted from the Artist's share of the listed experience price.
How the money flows
When a fan pays, Stripe splits the charge at that moment: your share (the listed price less Barricade's fee) is transferred to your connected Stripe account, and Barricade's fee and the fan-paid processing fee go to Barricade, out of which Barricade pays Stripe. Stripe then pays your Stripe balance out to your bank on Stripe's standard schedule (typically within a few business days of each sale), subject to Stripe's own account status, reserves, and payment restrictions. Barricade does not hold your proceeds. If a sale is completed before your Stripe account is connected, Barricade holds those proceeds and transfers them to you after the experience date once your account is connected.
Payment account
Your proceeds are routed through the Stripe account connected to your Barricade account. You are responsible for maintaining an active and accurate Stripe account and bank connection. Payment processing services for Artists on Barricade are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service. By using Barricade's payment features, you agree to be bound by the Stripe Connected Account Agreement, as it may be modified by Stripe from time to time.
Income taxes
You are responsible for income, self-employment, business, and other taxes applicable to the amounts you receive. Stripe or another payment provider may issue tax reporting forms where required by law. Barricade does not provide tax advice.
5. Refunds, transfers, cancellations, and rescheduling
Refund policy
Unless required by law or otherwise stated at checkout, experiences sold through Barricade are non-refundable. The terms shown to fans at checkout (the Barricade Terms of Purchase) govern refunds and transfers from the fan's side, and you agree not to offer fans terms that conflict with them.
Transfers
Barricade may allow fans to transfer an eligible purchase to another person. If Barricade permits a transfer, you agree to honor the valid transferred purchase in the same manner as the original purchase.
Cancelled experiences
If you cancel an experience, you must notify Barricade promptly. Fans will be refunded in accordance with the applicable fan terms and refund policy. Refunds are funded from your proceeds. You are responsible for the Artist portion of any refunded transaction and for any non-refundable payment-processing or dispute fees associated with the cancellation; if your Stripe balance is insufficient to cover a refund, Section 6 applies. Barricade will not retain its platform fee on a transaction that Barricade fully refunds because the underlying experience was cancelled.
Postponed or rescheduled experiences
If an experience is postponed or rescheduled, existing purchases will generally remain valid for the new date. Where appropriate, Barricade may offer refunds to fans who are unable to attend the rescheduled date. Those refunds will be treated in the same manner as other Artist-related refunds under this Agreement.
6. Chargebacks, payment disputes, and recovery of amounts owed
You are responsible for chargebacks, payment reversals, and disputes relating to experiences sold through your account, except to the extent the dispute results solely from an error caused by Barricade.
If a fan or payment provider disputes or reverses a transaction, you are responsible for the disputed Artist proceeds, applicable payment-provider fees, and reasonable costs Barricade incurs in responding to the dispute. Because of how Stripe processes these sales, a chargeback or reversal is charged to Barricade's platform account first, even though the proceeds were paid to you; this section is how Barricade recovers it.
Because Barricade's Stripe platform receives dispute notices, Barricade will notify you of a dispute and may submit evidence on your behalf. The outcome of the dispute and its cost remain your responsibility.
Recovery of amounts owed
If Barricade is required to fund or return an amount for which you are responsible, Barricade may recover that amount by:
- reversing the related transfer or debiting your connected Stripe account, which you expressly authorize Barricade and Stripe to do;
- deducting the amount from a future payout;
- offsetting the amount against other amounts Barricade owes you;
- invoicing you directly; or
- using another lawful method of collection.
Unless otherwise stated in the notice or invoice, invoiced amounts are due within 15 days.
Dispute cooperation
If a payment dispute arises, Barricade may ask you to provide information reasonably necessary to respond. This may include check-in records, guest lists, photos, video, communications, delivery confirmation, or other evidence showing that the experience was provided as described. You agree to provide reasonably requested information promptly, and in any event within the deadline Barricade identifies, which may be as short as 7 days because of card-network rules. Not responding does not reduce your responsibility for the dispute.
Continuing responsibility
Your responsibility for refunds, chargebacks, reversals, and other amounts owed does not end when you withdraw funds, disconnect Stripe, close your account, or stop using Barricade.
Reserves
If Barricade or its payment providers determine that an account presents an elevated payment or dispute risk, Barricade may place a reasonable reserve on future payouts. Where practical, Barricade will provide notice of the reserve and its expected duration.
7. Your responsibilities
You agree to:
- provide accurate and complete information about each experience;
- clearly describe what is included — including whether admission to the show is included — when and where fans should arrive, and any important restrictions;
- deliver each experience substantially as described;
- maintain a reasonable process for fan check-in and fulfillment;
- respond to time-sensitive fan and Barricade communications;
- take responsibility for the content of any message you send to fans through Barricade;
- comply with applicable venue rules and laws; and
- obtain any permissions required to offer or fulfill an experience, including from a headliner, venue, or promoter where needed.
Materially failing to deliver an experience as described may result in refunds, chargebacks, account restrictions, or other remedies available under this Agreement.
Safety at your experiences
You are solely responsible for the safety of fans, your team, and others at each experience, including venue selection, security, crowd management, accessibility, and compliance with venue and legal requirements. Barricade has no presence at, control over, or responsibility for what happens at an experience. You are responsible for maintaining insurance appropriate to the experiences you offer. Any claim for personal injury, illness, death, or property damage arising at or in connection with an experience is your responsibility, not Barricade's.
Messages you send through Barricade
Barricade provides messaging tools that let you and your team communicate with fans. You decide the content, the recipients, and the timing of those messages; Barricade transmits them on your behalf and is a conduit, not the author. You are solely responsible for every message sent from your account, including that it is accurate, lawful, not fraudulent, threatening, harassing, discriminatory, or infringing, and that it complies with the TCPA, CAN-SPAM, CTIA guidelines, and applicable privacy laws. Barricade may, but is not obligated to, monitor, delay, refuse, or remove messages, and may suspend messaging or your account if it reasonably believes a message violates this Agreement or the law. Barricade's own transactional messages to fans (confirmations, check-in details, reminders) are sent under the fan's consent to Barricade, and you may not use Barricade's messaging tools for marketing beyond the show-related purposes fans have agreed to.
Conduct of your team toward fans
Fan contact information is made available to you and your team only to deliver the experience and, where the fan has separately opted in, to send your marketing. Using it for any other purpose — including contacting a fan for personal reasons, harassment, stalking, or any conduct a reasonable person would find threatening or inappropriate — by you or anyone on your team is a material breach of this Agreement. Barricade may immediately suspend the responsible person or the account, notify the fan or law enforcement, and cooperate with any investigation. You are responsible for that conduct and for the claims that result from it, and you agree to promptly report to Barricade any misconduct toward a fan that you become aware of.
8. Taxes on sales
You are responsible for determining whether sales, admissions, amusement, value-added, or similar taxes apply to experiences you sell through Barricade.
Unless Barricade is required by applicable law to do so, Barricade does not calculate, collect, or remit those taxes on your behalf.
Barricade will make relevant transaction records available to assist with your tax reporting and compliance obligations.
If Barricade becomes legally required to collect or remit a tax in a particular jurisdiction, Barricade may begin doing so and may update checkout pricing or payment flows accordingly. Where practical, any such tax will be added to the price shown to the fan rather than deducted from your proceeds, unless the law requires otherwise.
You remain responsible for your own income and business tax obligations.
9. Your content, brand, and fan data
Your content
You retain ownership of the photos, logos, text, artwork, and other content you provide to Barricade. You grant Barricade a non-exclusive, worldwide license to host, display, reproduce, distribute, and otherwise use that content as reasonably necessary to operate and promote your listings and provide the Barricade service. Barricade will not use your name, likeness, or content in Barricade's own marketing without your consent.
Fan data
Subject to applicable law and the fan's consent choices, you may access and export fan information collected through your experiences. Barricade will not sell your fan list to third parties.
When you export fan information or send it to a service you connect to Barricade (for example, an email, SMS, advertising, or e-commerce platform), you are responsible for your use of that information. This includes compliance with applicable privacy, email, SMS, and marketing laws and honoring applicable unsubscribe and opt-out requests. Marketing consent applies only where the fan has provided the required consent, and only to the extent of that consent.
Barricade may separately send transactional or service-related communications necessary to operate the platform, including purchase confirmations, reminders, updates, and check-in information.
Barricade's use of data
Barricade may use aggregated or de-identified information for analytics, product improvement, research, security, and business operations. Barricade may use individual account and transaction data as reasonably necessary to operate the platform, provide support, prevent fraud, process payments, and serve Artists and fans.
10. Prohibited uses
You may not use Barricade to:
- commit fraud or engage in unlawful activity;
- list an experience you are not authorized or reasonably able to provide;
- process transactions unrelated to legitimate experiences or fan products;
- misuse the platform to evade taxes or payment rules;
- interfere with Barricade's systems or attempt to gain unauthorized access;
- scrape or improperly obtain data from the platform;
- transfer or resell an account without Barricade's permission; or
- harass, threaten, or abuse fans, Barricade personnel, or other users through the platform.
Barricade may suspend or terminate accounts that violate these restrictions and may take reasonable steps to prevent or recover losses associated with prohibited activity.
11. Term and termination
This Agreement begins when you accept it or begin using Barricade and continues until terminated.
Either you or Barricade may terminate the relationship at any time by providing written notice. Email is sufficient.
Termination does not affect obligations that arose before termination. This includes obligations relating to refunds, chargebacks, payment disputes, taxes, indemnification, and amounts owed.
If Barricade terminates or restricts an account because of suspected fraud, prohibited activity, material non-delivery, or significant payment risk, Barricade may temporarily hold pending payouts while the matter is reviewed, subject to applicable law and payment-provider rules.
12. Disclaimers and limitation of liability
Service availability
Barricade is provided on an “as is” and “as available” basis. To the extent permitted by law, Barricade does not guarantee that the platform will always be uninterrupted, error-free, or suitable for every particular business need, and disclaims all implied warranties, including merchantability and fitness for a particular purpose. Barricade is not responsible for delays or failures caused by events outside its reasonable control, including outages at Stripe or other providers, carrier or network failures, or force majeure events.
Limitation of liability
To the maximum extent permitted by law, Barricade's total liability arising out of or relating to this Agreement or the platform will not exceed the greater of:
- the platform fees Barricade received from you during the 12 months preceding the event giving rise to the claim; or
- $1,000.
To the maximum extent permitted by law, Barricade will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, opportunity, data, or goodwill.
Release
You release Barricade and its officers, employees, contractors, and affiliates from all claims, demands, and damages of every kind arising out of a dispute between you and a fan, a venue, a headliner or promoter, a member of your team, or any other user of the platform, in connection with the platform or an experience.
Indemnification
You agree to indemnify, defend, and hold harmless Barricade and its officers, employees, contractors, and affiliates from claims, liabilities, damages, losses, and reasonable legal expenses arising from:
- your breach of this Agreement;
- an experience you offer or fail to provide, including any injury, illness, death, or property damage occurring at or in connection with it;
- a refund, chargeback, or payment dispute for which you are responsible;
- any message or communication sent by you or your team through Barricade;
- the conduct of you or anyone on your team toward a fan or any third party;
- your violation of applicable law, venue rules, or third-party rights; or
- content you provide through Barricade.
This indemnity does not apply to the extent a claim results from Barricade's gross negligence or willful misconduct.
13. Governing law and dispute resolution
This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules.
Before beginning formal proceedings, you and Barricade agree to make a reasonable good-faith effort to resolve any dispute directly.
If a dispute cannot be resolved informally, it will be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, unless applicable law requires otherwise. Arbitration will take place in Los Angeles County, California, unless the parties agree otherwise or applicable law requires another location. Either party may instead bring an individual claim in small claims court if it qualifies.
To the extent permitted by law, you and Barricade waive the right to a jury trial and the right to participate in a class or representative action.
14. Changes to this Agreement
Barricade may update this Agreement from time to time.
If we make a material change, we will provide reasonable advance notice, generally at least 14 days before the change takes effect. Changes required by law or by a payment provider may take effect sooner.
Your continued use of Barricade after the effective date of the updated Agreement constitutes acceptance of the revised terms. If you do not agree to an updated Agreement, you may stop using Barricade and terminate your account.
15. General terms
This Agreement is the entire agreement between you and Barricade concerning the Barricade Artist platform unless you and Barricade have entered into another written agreement that expressly modifies these terms.
You and Barricade are independent parties. Nothing in this Agreement creates a partnership, joint venture, agency, franchise, or employment relationship, and neither party may bind the other.
Notices to you may be sent to the email address on your account. Notices to Barricade may be sent to the address in Section 16.
If any provision of this Agreement is found unenforceable, the remaining provisions will remain in effect.
A failure by either party to enforce a provision does not waive the right to enforce it later.
You may not assign this Agreement without Barricade's written consent. Barricade may assign this Agreement in connection with a merger, acquisition, reorganization, financing, or sale of all or substantially all of its business or assets.
Sections 5, 6, 7 (Safety, Messages, and Conduct), 8, 9, 11, 12, 13, and 15 survive termination of this Agreement.
